Terms of Service
Article 1 — Purpose
These Terms of Service govern the contractual relations between ECOMSKY (SARL), with its registered office at 229 rue Saint-Honoré, 75001 Paris, France (hereinafter "the Provider"), and any natural or legal person wishing to benefit from the services offered via the website smart-leads.fr (hereinafter "the Client").
Article 2 — Services
The Provider offers consulting and technology deployment services aimed at optimizing lead qualification from online advertising campaigns (Meta Ads, Google Ads and other platforms). Services include:
- Audit of advertising campaigns and existing forms
- Deployment of an AI scoring system on the Client's forms
- Configuration of conditional conversion events
- Ongoing monitoring and optimization of results
Article 3 — Quotation and acceptance
Each service is subject to a personalized quotation sent to the Client. Signing the quotation or written confirmation (including by email) constitutes acceptance of these Terms of Service and a firm commitment from the Client.
Article 4 — Pricing and billing
Prices are indicated in euros excluding taxes (HT) on the quotation. Applicable VAT will be added in accordance with current regulations.

Invoices are payable upon receipt, unless otherwise stated on the quotation. Any late payment automatically entails the application of late payment penalties at a rate of 3 times the legal interest rate, as well as a fixed indemnity of €40 for recovery costs.
Article 5 — Duration and termination
The duration of the service is defined in the quotation. Either party may terminate the contract by giving 30 days' written notice. In the event of early termination by the Client, amounts already paid remain with the Provider in proportion to work completed.
Article 6 — Client obligations
The Client agrees to:
- Provide necessary access to their advertising accounts and website
- Communicate accurate and complete information necessary for the delivery of services
- Actively collaborate with the Provider in defining qualification criteria
Article 7 — Liability
The Provider undertakes to implement all necessary means for the proper execution of services. This is an obligation of means, not of result. The Provider cannot be held responsible for the performance of the Client's advertising campaigns, as these depend on numerous external factors.
Article 8 — Confidentiality
Each party undertakes to treat as confidential all information exchanged in the context of the service. This confidentiality obligation remains in effect for 2 years after the end of the contractual relationship.
Article 9 — Applicable law and disputes
These Terms of Service are governed by French law. In the event of a dispute, the parties undertake to seek an amicable solution. Failing that, the competent courts of Paris shall have sole jurisdiction.
